1. Acceptance of Terms
Welcome to Telmi, operated by The Telmi Company. These Terms and Conditions ("Terms") govern your access to and use of the Telmi voice-first feedback platform, including any associated applications, websites, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Changes to Terms
We may modify the Terms at any time, at our sole discretion. If we do so, we will notify you by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after we make changes is deemed to be acceptance of those changes, so please check the Terms periodically for updates.
3. Eligibility
You may use the Service only if you can form a binding contract with The Telmi Company, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
4. Accounts
4.1 Account Creation
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.2 Account Responsibilities
You are responsible for safeguarding your account credentials. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You must notify us immediately of any breach of security or unauthorized use of your account.
5. Service Use and Content
5.1 User Content
The Service allows you to create campaigns, record voice feedback, and view insights based on feedback provided by users. You grant The Telmi Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display any content you submit through the Service.
5.2 Data Ownership and Use
The Telmi Company owns all data collected through the Service, including all transcriptions, feedback, and analysis generated through campaigns. Campaign creators do not own the data collected through campaigns they create. By using the Service, you acknowledge and agree to this ownership arrangement.
Important: We do not use your data to train AI models or machine learning algorithms. Your data is used solely for providing our Service and is never used to improve or train artificial intelligence systems.
5.3 Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law
- Violate or encourage others to violate the rights of third parties, including intellectual property rights
- Submit false or misleading information
- Upload or transmit viruses, malware, or other types of malicious software
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to the Service or other user accounts
- Use the Service in any manner that could disable, overburden, damage, or impair the Service
6. Intellectual Property Rights
6.1 Telmi Property
The Service and its original content, features, and functionality are and will remain the exclusive property of The Telmi Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of The Telmi Company.
6.2 Feedback
If you provide us with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate.
7. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by The Telmi Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that The Telmi Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
9. Limitation of Liability
In no event shall The Telmi Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
10. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
12. Dispute Resolution
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in the United States, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and The Telmi Company regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
